Terms of Service

AutoWarehouse is a product of Intellica — a PiA Group company. This document will be expanded with full licensing terms, usage policies, and service level agreements.

01 · Acceptance of Terms

These Terms of Service (the "Terms") govern access to and use of the AutoWarehouse platform and the autowarehouse.ai website, provided by Intellica (a PiA Group company). By accessing this website, requesting a demo, or using the Platform, you agree to these Terms. Where a signed enterprise agreement exists between you and Intellica, that agreement controls and prevails over any conflicting provision here.

02 · Definitions

"Platform" means the AutoWarehouse software — the application, AI/agent engine, LLM runtime, and related components deployed on the Customer's own infrastructure. "Customer" means the organization that licenses or uses the Platform. "Service" means the Platform together with any documentation, updates, and support Intellica makes available. "Content" means data, models, mappings, queries, and outputs that the Customer connects, creates, or processes through the Platform.

03 · License Grant & Restrictions

Subject to these Terms and any applicable enterprise agreement, Intellica grants the Customer a non-exclusive, non-transferable, non-sublicensable license to install and use the Platform for its internal business operations. The Customer may not reverse-engineer, resell, sublicense, or provide the Platform as a service to third parties, remove proprietary notices, or use the Platform outside the scope granted. All rights not expressly granted are reserved by Intellica.

04 · Commercial Terms

AutoWarehouse is licensed under individual enterprise agreements; fees, deployment scope, and term are set in each Customer's agreement. Tier positioning is outlined on our pricing page; a managed offering is forthcoming. For licensing, deployment, or commercial questions, reach our team.

05 · Acceptable Use

The Customer agrees to use the Platform lawfully and only with data it is authorized to process. The Customer may not use the Platform to violate applicable law, infringe third-party rights, or attempt to disrupt, probe, or gain unauthorized access to Intellica systems or the website. Because the Platform is self-hosted, the Customer is responsible for its own infrastructure, access controls, and the data it connects.

06 · Service Levels & Support

The AutoWarehouse platform runs on the Customer's own infrastructure. Support scope, response targets, and any service-level commitments are defined in the applicable enterprise agreement or a separate SLA; no service levels are promised for the informational website itself. ETL execution is currently pre-alpha and provided without availability guarantees.

07 · Intellectual Property

Intellica and its licensors own all right, title, and interest in the Platform, including its software, models, templates, and documentation. The Customer retains all ownership of its Content — its source data, the data warehouse it builds, agent state, and query results, all of which remain within the Customer's perimeter. The Customer grants Intellica no rights to that Content beyond what is necessary to provide support under an agreed engagement.

08 · Confidentiality

Each party may receive information the other treats as confidential. The receiving party will use such information only to perform under these Terms, protect it with reasonable care, and not disclose it except to personnel or advisors bound by comparable obligations. This does not apply to information that is public, independently developed, or lawfully obtained without a duty of confidentiality.

09 · Warranties & Disclaimers

This website and its contents are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Any warranties for the Platform are limited to those expressly stated in the applicable enterprise agreement. Product descriptions on this site are informational and may change.

10 · Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or relating to these Terms or use of the website. Any liability for the Platform is governed by, and capped as set out in, the applicable enterprise agreement.

11 · Indemnification

The Customer will defend and indemnify Intellica against third-party claims arising from the Customer's unlawful use of the Platform, its Content, or its breach of these Terms. Any reciprocal indemnities from Intellica — for example against claims that the Platform infringes third-party intellectual property — are set out in the applicable enterprise agreement.

12 · Term, Termination & Suspension

These website Terms apply while you use the site. Platform license term, renewal, and termination are governed by the applicable enterprise agreement. Intellica may suspend or terminate access for material breach, unlawful use, or as required by law. Provisions that by their nature should survive — including intellectual property, confidentiality, and limitation of liability — survive termination.

13 · Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules. The courts of Istanbul, Türkiye have exclusive jurisdiction over any dispute arising from these Terms, save where mandatory law provides otherwise.

14 · Changes to These Terms

Intellica may update these Terms from time to time. Material changes take effect when the revised version is posted here, with the "Last updated" date above amended accordingly. Continued use of the website or Platform after an update constitutes acceptance of the revised Terms.
